This Beta Tester & Product Feedback Agreement ("Agreement") is entered into between:
16Fold LLC, an Ohio single-member limited liability company formed May 9, 2026, with its principal place of business in the State of Ohio (the "Company"), represented by Robert Crabtree, Principal and Managing Member;
— and —
the individual identified in the signature block below ("Beta Tester").
Together referred to as the "Parties." The Parties agree to the following terms regarding Beta Tester's participation in the early-access testing program for The Machine / Alfred AI Chief of Staff System (the "Product").
Section 1
What This Is — And What It Isn't
⚠ Explicit Clarification
This Agreement does not create a business partnership, joint venture, employment relationship, or any form of equity or ownership interest in 16Fold LLC or its products. The Beta Tester is a beta tester only. No compensation is owed, no shares are granted, no employment rights are established, and no agency relationship is created by this Agreement.
Beta Tester is being granted free, limited access to a pre-release version of the Product in exchange for honest feedback, bug reports, and use-case testing. This is a testing arrangement — nothing more and nothing less.
Section 2
Access to the Product
16Fold LLC grants Beta Tester complimentary, non-transferable access to the Product for the duration of this Agreement. This access is provided at no cost and is intended solely for testing, evaluation, and feedback purposes.
- Free access: No payment is required or accepted from Beta Tester.
- Non-transferable: Access credentials and any access granted hereunder may not be shared with or transferred to any third party.
- Limited license: Beta Tester receives a limited, revocable, non-exclusive license to use the Product solely for testing purposes under this Agreement.
- No production reliance: Beta Tester acknowledges the Product is in early development and should not be relied upon for mission-critical business operations.
Section 3
Beta Tester's Obligations
In exchange for free access, Beta Tester agrees to:
- Good-faith testing. Actively use the Product and attempt to test its capabilities across realistic use cases, including edge cases and failure scenarios.
- Bug reporting. Report any bugs, errors, crashes, unexpected behavior, or performance issues to 16Fold LLC in a timely and reasonably detailed manner.
- Honest feedback. Provide candid, constructive feedback on product features, usability, workflow integrations, AI behavior, and overall experience — positive or negative.
- Use-case documentation. Where possible, document specific workflows, tasks, or scenarios in which Beta Tester applied the Product, to help the Company understand real-world utility.
- Availability for follow-up. Be reasonably available for follow-up questions from 16Fold LLC regarding specific feedback or test results (via email or messaging, no formal meetings required).
Optional — Public Review / Testimonial: Beta Tester may, but is not required to, write a public review, social post, or testimonial about their experience with the Product. See Section 7 for details on how 16Fold LLC may use such content.
Section 4
Confidentiality & Non-Disclosure
Beta Tester acknowledges that in the course of testing, they will be exposed to confidential, proprietary, and trade-secret information belonging to 16Fold LLC, including but not limited to:
- The architecture, structure, and design of the Product's AI agent system
- System prompts, agent roles, agent instructions, and workflow logic
- Integration methods, API configurations, and data pipelines
- Unreleased features, roadmap items, and product strategy
- Business methods, pricing, client data, or internal operations exposed during testing
- Any other non-public information shared in connection with this Agreement
Beta Tester agrees to:
- Keep all Confidential Information strictly private. Not disclose, share, publish, describe, or discuss any Confidential Information with any third party in any medium — including social media, forums, podcasts, blogs, or private conversation — without express prior written consent from Robert Crabtree / 16Fold LLC.
- Not reverse-engineer or replicate. Not attempt to reverse-engineer, clone, reproduce, or derive competitive products from the Product's architecture, prompts, or design.
- Limit use to testing only. Not use any Confidential Information for any purpose other than evaluating the Product under this Agreement.
This confidentiality obligation survives termination of this Agreement and remains in effect indefinitely for trade secrets, and for a period of three (3) years from the date of termination for other Confidential Information.
Permitted disclosure: Beta Tester may describe their general experience using the Product (e.g., "I tested an AI chief-of-staff tool") without disclosing the technical or architectural specifics protected above.
Section 5
Intellectual Property — Everything Belongs to 16Fold
All intellectual property developed, suggested, contributed, or improved in connection with Beta Tester's participation in the testing program is and shall remain the sole property of 16Fold LLC.
This includes, without limitation:
- Feature suggestions or ideas submitted as feedback
- Workflow templates, prompt improvements, or configuration suggestions
- Bug fixes or workarounds discovered during testing
- Any creative, technical, or conceptual contribution made in the course of testing
To the extent any such contribution could give rise to intellectual property rights in Beta Tester, Beta Tester hereby irrevocably assigns all such rights — including copyright, patent, trade secret, and any other applicable intellectual property rights — to 16Fold LLC, effective immediately upon creation, without any additional compensation.
Beta Tester agrees to execute any documents reasonably requested by 16Fold LLC to perfect or record this assignment.
Section 6
Product Provided "As-Is" — No Warranty
The Product is in beta — pre-release software. It is provided to Beta Tester "as-is" and "as-available," with no representations or warranties of any kind, express or implied.
16Fold LLC expressly disclaims all warranties, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that the Product will be error-free, uninterrupted, or secure
- Warranties that any specific feature will be available, functional, or remain unchanged
Beta Tester uses the Product at their own risk. 16Fold LLC shall not be liable for any damages — direct, indirect, incidental, special, or consequential — arising from Beta Tester's use of the Product, to the maximum extent permitted by applicable law.
The Product may change, break, reset, or be discontinued at any time during the testing period without notice.
Section 7
Reviews, Testimonials & Marketing Use
If Beta Tester voluntarily writes a review, testimonial, social post, or other public statement about their experience with the Product, the following terms apply:
- Approval required before use. 16Fold LLC will request Beta Tester's explicit written approval (email is sufficient) before using any specific testimonial or review in marketing materials, the Company website, sales content, or social media.
- Name and context. With approval, 16Fold LLC may use Beta Tester's name, general role or title, and the approved review text in marketing content.
- No fabrication. 16Fold LLC will not alter the substance of any testimonial without re-approval, or create attributed statements Beta Tester did not make.
- Revocable consent. Beta Tester may withdraw their approval for future use of a specific testimonial at any time by written notice, without affecting prior authorized uses.
Providing a review or testimonial is entirely voluntary and has no bearing on Beta Tester's access to the Product.
Section 8
Term & Termination
This Agreement begins on the date signed below and continues until terminated.
- Either party may terminate at any time, for any reason or no reason, with or without notice.
- Upon termination, Beta Tester's access to the Product will be revoked.
- Beta Tester must promptly delete or destroy any Confidential Information in their possession upon termination.
- Sections 4 (Confidentiality), 5 (Intellectual Property), 6 (No Warranty), and 9 (Governing Law) survive termination.
Section 9
Governing Law & Disputes
This Agreement is governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict-of-law principles.
Any dispute arising under this Agreement shall first be addressed through good-faith negotiation between the Parties. If unresolved within 30 days, the Parties agree to submit the matter to binding arbitration in Ohio under the rules of the American Arbitration Association, with costs split equally unless the arbitrator determines otherwise.
Section 10
General Provisions
- Entire Agreement. This Agreement constitutes the entire agreement between the Parties regarding Beta Tester's participation in the testing program and supersedes all prior understandings on this subject.
- Amendments. Any modification to this Agreement must be in writing and signed by both Parties.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
- No Waiver. Failure to enforce any provision does not constitute a waiver of that or any other provision.
- Counterparts / Electronic Signatures. This Agreement may be executed electronically or in counterparts, each of which shall constitute an original.
